Terms of Service

1. Who We Are and What These Terms Cover

Taikai App ("Taikai," "we," "us") is a karate tournament management platform operated by Kime Soft and available at taikaiapp.com. These Terms of Service ("Terms") are an agreement between you and Kime Soft governing your use of the Taikai App website, web application, and related services (together, the "Service"), including tournament sites we operate on partner domains (for example, copamurayama.com).

By creating an account, registering for a tournament, or otherwise using the Service, you agree to these Terms. If you do not agree, please do not use the Service.

2. The Service

Taikai App helps tournament directors run karate tournaments end to end: online registration, competitor approval and check-in, division building, bracket generation, kumite and kata scoring, staff and judge tools, scoreboards and projector displays, schedules, results, and email notifications. Athletes, coaches, judges, staff, and parents/guardians use the Service to register, manage profiles, sign waivers, and follow events.

The Service is currently offered in a beta period. Features may change, be added, or be removed, and beta pricing (described below) applies only while beta lasts.

3. Accounts

You need an account for most features. You agree to provide accurate information, keep your login credentials confidential, and notify us of any unauthorized use of your account. You are responsible for activity that occurs under your account.

Accounts for competitors under the age of majority may be created and managed by a parent or legal guardian, or linked to a guardian through our guardian confirmation process. Guardians are responsible for registrations, waivers, and information submitted on behalf of their minors.

4. Roles: Directors and Participants

The Service has two distinct sides, and it matters for payments and responsibilities:

  • Tournament directors create and run tournaments. Directors purchase credits from Kime Soft (Section 5), set entry fees, configure divisions and rules, approve or decline registrations, and are the event organizers. The director — not Kime Soft — is responsible for how their event is run, including entry fee amounts, event rules, schedules, safety, and any entry fee refunds.
  • Participants (athletes, coaches, judges, staff, and guardians acting for minors) register for events, maintain profiles, and use the tools directors make available. When you register for a tournament, your agreement about the event itself — including fees and any waiver — is with that tournament's director or organizing body, not with Kime Soft.

5. Credits and Payments to Kime Soft (Directors)

Directors pay for the Service with prepaid credits. Creating an account, building a tournament, configuring divisions and scoring, and inviting staff are free. One credit is deducted from the director's balance each time a competitor registration is approved. Registrations that are pending or declined do not consume credits.

  • Packs and beta pricing. Credits are sold in packs through Stripe Checkout. During beta, packs are volume-discounted (for example, Starter 10 credits for $10, Club 100 for $50, Regional 300 for $120, Championship 600 for $150). Standard pricing after beta is volume-tiered, from $2.00 per competitor down to $1.00 per competitor on larger packs. Prices are shown on the pricing page and may change; the price displayed at checkout is the price you pay.
  • Founding directors. The first 50 directors to purchase credits during beta become founding directors and receive 20% off standard pricing after beta ends, for as long as the program is honored.
  • Credits do not expire and carry over between tournaments on the same director account.
  • Automatic credit-return on unapproval. If a director unapproves or deletes an approved competitor, the credit for that registration is automatically returned to the director's balance.
  • Credit purchases are otherwise non-refundable. Except for the automatic credit-return described above, credit purchases are final and are not redeemable for cash. If you believe a purchase was made in error, contact us at hello@taikaiapp.com and we will review it in good faith.
  • Credits are not entry fees. Credits are the currency between the director and Kime Soft. They are separate from entry fees competitors pay the director.

6. Entry Fee Payments (Participants)

Entry fees for tournaments are set by, and paid to, the tournament director, not Kime Soft. Depending on how the director has configured their event, online entry fee payments are processed through the director's own Stripe account (either a Stripe Connect account or the director's own Stripe credentials), or collected by the director in cash at the event. Kime Soft does not receive or hold entry fee money.

Because entry fees go to the director, refunds of entry fees are the director's responsibility and are governed by that event's policies. Contact the tournament director for entry fee refund requests. Payment card processing is handled by Stripe under Stripe's own terms; we never see or store full card numbers.

7. Waivers and Event Participation

Directors may require participants (or their parents/guardians) to sign liability waivers electronically through the Service. When a waiver is signed, we record the signer's name, the time of signature, and the IP address used, and make the signed waiver available to the director. The waiver is an agreement between the participant (or guardian) and the event organizer; Kime Soft provides the signing tool but is not a party to the waiver.

Martial arts competition carries inherent physical risk. Kime Soft provides software only — we do not run events, supervise competition, or provide medical, safety, or officiating services.

8. Acceptable Use

You agree not to:

  • Provide false information, register competitors without authorization, or impersonate another person;
  • Use the Service to send spam or unsolicited communications;
  • Attempt to gain unauthorized access to accounts, tournaments, or systems, or probe, scan, or test the vulnerability of the Service;
  • Scrape, harvest, or misuse personal data of other users, including competitor and minor data visible to you in a director, coach, or staff role;
  • Interfere with the operation of the Service, including live scoring during events;
  • Use the Service for any unlawful purpose.

Directors, coaches, and staff who are given access to participant data (including minors' information) may use it only to run the event the participant registered for.

9. Your Content

You retain ownership of the content you submit (profiles, photos, tournament descriptions, and similar material). You grant Kime Soft a non-exclusive license to host, display, and process that content as needed to operate the Service — for example, showing competitor names and clubs on brackets, scoreboards, schedules, and public results pages for the events they enter. You are responsible for having the rights to what you upload, including photo permissions.

10. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or available at any particular time — including during a live event. Directors should maintain reasonable contingency plans (such as printed brackets) for critical event operations.

11. Limitation of Liability

To the maximum extent permitted by law, Kime Soft and its owner will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Service. To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the amount you paid Kime Soft for credits in the twelve months before the claim arose, or (b) fifty US dollars ($50). Kime Soft is not liable for injuries or losses arising from participation in events organized by directors, or for directors' entry fee, refund, or event-management decisions.

12. Termination

You may stop using the Service and request deletion of your account at any time by contacting hello@taikaiapp.com. We may suspend or terminate accounts that violate these Terms, abuse other users, or create legal risk, with notice where practicable. If we terminate a director account without cause, we will work with the director in good faith regarding any unused credit balance. Sections that by their nature should survive termination (including Sections 9–11) survive.

13. Changes to the Service or These Terms

We may update these Terms from time to time — for example, when beta ends or when features change. If we make material changes, we will update the "Last updated" date above and take reasonable steps to notify account holders (such as email or an in-app notice). Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the State of Iowa, USA, without regard to conflict-of-laws principles, and any disputes will be resolved in the state or federal courts located in Iowa.
